Board of Directors (Governing Body)

The governing body responsible for strategic leadership, fiduciary responsibility, and public trust.

The Board of Directors (BOD) serves as the governing body of ANGELS International, providing strategic oversight, fiduciary responsibility, and ensuring organizational compliance with U.S. nonprofit laws while protecting public trust.

Main Responsibilities
  1. Strategic Oversight & Governance
    • Approve the organization’s mission, vision, and strategic plans.
    • Review, provide input, and approve annual operating and programmatic plans.
    • Monitor implementation of strategic priorities to ensure alignment with ANGELS International’s goals.
  2. Financial Stewardship & Accountability
    • Approve annual budgets and monitor financial performance.
    • Ensure proper financial management, transparency, and adherence to accounting standards.
    • Oversee audits and ensure timely submission of required IRS and state nonprofit filings.
  3. Executive Leadership Management
    • Appoint, evaluate, and, if necessary, remove the Executive Director (CEO).
    • Support the Executive Director in achieving organizational objectives while maintaining independence.
    • Provide mentorship and ensure performance management.
  4. Policy, Compliance & Risk Oversight
    • Ensure compliance with federal, state, and local nonprofit laws.
    • Establish and oversee organizational policies (ethics, safeguarding, anti-discrimination, conflict of interest).
    • Monitor risks and ensure mitigation strategies.
  5. Mission, Ethics & Public Trust
    • Uphold ANGELS International’s mission, values, and ethical standards.
    • Serve as ambassadors for the organization.
    • Ensure decisions prioritize humanitarian commitments.
  6. Fundraising & Resource Mobilization (Optional)
    • Support fundraising efforts through networks and expertise.
    • Identify potential donors, partners, and collaborators.
  7. Board Development & Evaluation
    • Participate in Board orientation, training, and governance development.
    • Evaluate overall Board performance and effectiveness.

2. Executive Leadership Team (Management Body)

Purpose: Implements the Board-approved strategy, ensures effective operations, and drives programmatic excellence. The Executive Leadership Team reports directly to the Board of Directors.

Position Core Responsibilities
Executive Director Provides strategic leadership, oversees performance, partnerships, fundraising, and ensures compliance with U.S. nonprofit regulations. Represents ANGELS International externally.
Deputy Executive Director / Program Director Oversees all program operations, ensures alignment with mission and donor requirements, supervises Program Managers and MEAL teams.
Director of Finance & Administration Manages budgeting, accounting, grants compliance, financial reporting, operational policies, and ensures fiscal responsibility and audit readiness.
Director of Human Resources (HR) Leads recruitment, staff development, performance management, and workplace policy implementation. Promotes an ethical, inclusive organizational culture.
Director of Project Management & Implementation Oversees full project lifecycle: planning, execution, monitoring, and reporting. Ensures projects meet quality, timeline, and budget requirements.
Director of Monitoring, Evaluation, Accountability & Learning (MEAL) Designs M&E frameworks, collects and analyzes impact data, ensures accountability to beneficiaries and donors, and provides learning insights for improvement.
Director of Communications & Advocacy Leads internal/external communications, branding, media, storytelling, and advocacy efforts to enhance visibility of ANGELS International.
Director of Partnerships & Resource Mobilization Builds partnerships with donors, international agencies, and stakeholders. Supports fundraising, proposal development, and strategic collaborations.
